$1.5 billion purchase of one of Canada’s biggest casino businesses

Business Days reports that Publishing & Broadcasting Ltd and Macquarie Bank expect to complete their $1.5 billion purchase of one of Canada’s biggest casino businesses today, after a seven-month delay due to regulatory approvals.The joint venture for Gateway Casinos includes the purchase of a total of nine casinos and 3000 gaming machines.

“Subject to satisfaction of the remaining conditions, the bid is expected to be completed on or about 14 November,” PBL said in statement yesterday.

The offer has the backing of the Gateway Casinos board and the remaining conditions include approval by the British Columbia Lottery Corporation and receiving acceptance for two-thirds of the Gateway Casinos Income Fund’s units.

The purchase includes the income fund as well as Gateway, a Toronto Stock Exchange-listed company.

The fund owns seven casinos, while the remaining two are held by the listed company.

The two partners are each contributing about $207 million of equity, with the rest debt-funded.

PBL funded the purchase from the $4.5 billion it banked after selling half of its media assets to CVC Capital Partners last year.

The deal was announced in April but it has taken this long to get regulatory approval from national regulators as well as those in Alberta and British Columbia.

In August the business reported a $C19.6 million loss in the second quarter, compared with earnings of $C10.8 million in the same period last year.

PBL shareholders are meeting next week to sign off on the company’s plan to split its $13 billion empire into separate gaming and media companies.

After the vote Gateway Casinos will sit alongside Crown in Melbourne, Burswood in Perth and a stake in the Crown Macau in Crown Holdings.

Shares in PBL rose 47c to $19.64 yesterday.
